Regulations on forming the Board of Coordination Center for TLD RU

1. Composition of the Coordination Center’s Board

1.1The Board of Coordination Center for TLD RU (further referred to as the Board) consists of 13 members. Twelve members of the Board are elected for a three-year period each, one member of the Board is the representative of the federal authorities and is delegated to the Board by the Communications Administration of the Russian Federation.
1.2 The composition of the elected members of the Board is renewed by one third annually (every year elections are held to fill in the vacancies of four members of the Board whose authority expires in the current year).
1.3 The term of powers of each Board member is calculated from January 1 of the year his/her power took effect until December 31 of the year in which his/her powers expire.
1.4 A Board member may not be reelected to the Board earlier than one year after the expiration of the current term of his/her powers.
1.5 Elections of the Board members are held by two quotas with each including two persons (quota A and quota B). Candidates on quota A are nominated by the Board members. Candidates on quota B are nominated by the organizations of the Russian Internet community or independently (as self-nomination).
1.6 Elections of new members of the Board are held at the Board session in compliance with the provisions of the present Regulations (further referred to as the Regulations). The provisions of the Regulations do not apply to the delegation of a Board member by the Communications Administration of the Russian Federation who is delegated in the procedure determined by the Communications Administration itself.


2. Procedure of forming (replacing) the Coordination Center’s Board

2.1 To fulfill the procedures related to the election of the Board members the Board shall, not later than September 15 of every year, appoint a Board member responsible for holding the elections in the current calendar year. The election work is organized by the said member of the Board (further referred to as the authorized member of the Board) and is performed by the Director of the Coordination Center and by the staff of the Coordination Center.
2.2 Not later than September 15 of every year the Director of the Coordination Center shall appoint a staffer of the Coordination Center responsible for the implementation of the procedures related to the election of the Board members (further referred to as the authorized staffer of the Coordination Center) and inform the Board members to this effect.
2.3 Elections of the Board members are held in the period from October 1 to December 31 of every calendar year and consist of the following procedures:
- announcing the election of new Board members,
- nominating candidates to the new Board members,
- processing applications on the nomination of candidates,
- reviewing candidacies by the Board members,
- electing new Board members at the Board session,
- publishing the new Board members election results.
2.4 The election of the new Board members is announced by the Director of the Coordination Center not later than September 30 of every year by posting the respective information (also including the procedure of nominating candidates to the new Board members) on the Internet site of the Coordination Center. The volume of information about the election of new Board members, as well as the practicality of publishing it in the mass media and dissemination otherwise is determined by the authorized member of the Board.
2.5 Candidates to the new Board members are nominated in the period October 1-31 every year by way of sending the respective written applications addressed to the Coordination Center. The application is deemed to have been sent in the said period by the date of the express mail receipt upon receiving the mailing piece with a guaranteed time of delivery or by the date of receiving a copy of the application sent to the fax number of the Coordination Center on condition that the original comes later or, in all other cases – by the date of actual receipt of the application by the Coordination Center.
2.6. The incoming applications on the nomination of candidates are processed in the period November 1-15 every year and then a preliminary list of candidates for voting and the applications on the nomination of candidates included into the said list are presented to the Board members.
2.7 Candidacies are reviewed by the Board members in the period 16-30 November every year after receiving the applications submitted.
2.8 New Board members are elected at the Board session convened in the period December 1-20 every year.
2.9The new Board members election results are published by the Director of the Coordination Center not later than one working day after the respective session of the Board, but in any case not later than December 31 of the respective year by posting the information about the elected members of the Board (including the indication of their term of powers) on the Internet site of the Coordination Center and, at the discretion of the authorized member of the Board, in the mass media.


3. Procedure for nominating candidates to members of the Coordination Center’s Board and for processing nomination applications

3.1 Candidates to the new Board members are nominated by way of sending applications as per item 2.5 of the Regulations.
3.2 Applications on the nomination of candidates to the Board members shall contain the following information:
(a) first, middle and last name of the candidate,
(b) brief information about the candidate, including his/her place of residence, job and position, as well as contact information,
(c) information (at the discretion of the applicant) that makes it possible to assess the candidate’s awareness of the Coordination Center’s activities and (or) his/her participation in the activities of the Russian Internet community organizations,
(d) description (name) of the applicant, as well as brief reference information about the applicant and his/her activities, including his/her contact information unless the application was sent as self-nomination.
In case of self-nomination instead of the reference information about the applicant (item d) a brief justification of the candidate’s interest in being elected as a Board member shall be presented.
If a candidate is nominated as a Board member (on quota A) item‘d’ shall only indicate the last name of the Board member and his/her electronic address.
3.3 The total volume of information in the application on nomination shall not exceed five thousand characters (including spacing).
3.4 The applicant (the person who nominates a candidate to the Board member) shall also present the candidate’s written consent with being nominated as candidate along with submitting an application (item 2.5 of the Regulations).
3.5 Throughout the term of powers of the active members of the Board their candidacies may not be nominated for electing new Board members (actually – to extend the term of their powers).
3.6 Persons employed with the State Civil Service may not be nominated as candidates to the Board members.
3.7 All data provided by the applicants and (or) processed during its reviewing is confidential and may not be divulged to any persons, except the authorized member of the Board and the authorized staffer of the Coordination Center, as well as members of the Board and the Director of the Center – after the received applications have been transferred to the Board members for review. Data on the facts and time of receiving the applications shall not be divulged until all the applications have been processed.
3.8 Immediately upon receiving an application on the nomination of a candidate to the Board members the authorized staffer of the Coordination Center performs a check to ensure its compliance with items 3.2 - 3.6 of the Regulations.
3.9 If the received application fails to meet the requirements of items 3.2-3.4. of the Regulations, the application shall not be transferred for review by the Board members and the respective candidate shall not be included into the voting list. The authorized staffer of the Coordination Center shall immediately inform the applicant about the reasons for turning down the application as per this clause.
3.10 If the discrepancies revealed were rectified and brought into compliance with 3.2-3.4. of the Regulations, the application on the nomination of a candidate may be submitted again (with the observance of the timing specified in item 2.5 of the Regulations).
3.11 All issues related to the implementation of items 3.9 and 3.10 of the Regulations shall be resolved with the mandatory participation of the authorized member of the Board.
3.12 Upon expiration of the period for submitting applications (item 2.5.of the Regulations) on the nomination of candidates the authorized member of the Board draws up a preliminary list of candidates for voting to which all the applications on the nomination of candidates included into the preliminary list are attached, as well as: data on the total number of nominated candidates, on the total number of received applications on each quota, on the number of rejected applications and reasons for rejection.
3.13 When drawing up the list of candidates for voting the following rules shall be followed:
(1) Irrespective of the number of applications nominating one and the same candidate, the said candidate is included into the voting list only once in accordance with the application received (and recognized proper) first in terms of timing. The remaining applications are presented for review by the Board members only for their information.
(2) The voting list on quota A (two candidates) shall include candidates nominated by the Board members; the voting list on quota B (two candidates) shall include candidates nominated by the organizations of the Russian Internet community or independently (as self-nomination).
(3) If only one candidate is nominated on one of the quotas, or no candidate was nominated at all, the number of vacancies on the other quota increases accordingly by one or two (so as to provide the election four new Board members).
(4) If the total number of nominated candidates is four or less, all the nominated candidates are included into the single list without distribution by quotas.
(5) Candidates are entered into the voting list by name alphabetically in accordance with the respective quota.
3.14. All the candidates entered into the preliminary voting list are notified by the Director of the Center about the date and place of the Board session the agenda of which includes the election of new Board members.


4. Procedure for electing members of the Coordination Center’s Board

4.1 The issue on electing new Board members is included into the agenda of the Board session held within the period specified in item 2.8 of the Regulations in the form of joint presence. The speaker on this issue is the authorized member of the Board, the document submitted to the Board for reviewing is the preliminary voting list.
4.2 During the preparation for the Board session and review of candidacies by the Board members (item 2.7 of the Regulations) each Board member is entitled to independently appraise each candidate, including the possibility of interviewing him/her and the reception of additional information about the candidate in another way.
4.3. The election of new Board members is reviewed, with regard to item 4.6 of the Regulations, privately, in the presence of only the Board members, as well as the Director of the Coordination Center and, at the discretion of the majority of the Board members present at the session, - the authorized staffer of the Coordination Center and (or) the person working as the Secretary of the Board session.
4.4. The report on the election of new Board members must contain information on the number of the nominated candidates, on making a preliminary voting list, as well as brief information on each candidate nominated for the Board. Each of the Board members is entitled to make a motion on the rejection of one or several candidates with the indications of reasons for rejection corresponding to the Russian legislation, the Charter of the Coordination Center and (or) the Regulations. If there are no rejections or other changes in the voting list adopted by the majority of the Board members present at the session, the voting list is deemed to be finally approved. If a candidacy is rejected (if the candidate is not included into final voting list), the said candidate is entitled to receive explanations from the authorized representative of the Board on the reasons for rejection after the Board session is over.
4.5 In the cases provided for by sub-items 3 and 4 of item 3.13 of the Regulations the report on the election of new Board members must also contain proposals on the respective adjustment of the voting procedure.
4.6 After the voting list is approved each of the candidates included into it has the right to speak to the Board members with a brief statement of reasons for becoming a member of the Board and answer the questions of the Board members. The time of speech made by each candidate may not exceed five minutes and may be extended for a particular candidate by the majority of the Board members present at the session.
4.7 After all the candidates included into the voting list have spoken, each of the Board members is entitled to participate in the discussion of the candidacies by expressing his/her opinion about one or several candidates. The time of speech made by each Board member may not exceed five minutes and may be extended for a particular member of the Board by the majority of the Board members present at the session.
4.8 After all the Board members have spoken the session chairperson is entitled to open a general discussion the time of which may not exceed fifteen minutes and may be extended by not more than fifteen minutes by the majority of the Board members present at the session.
4.9 After the general discussion is over each of the Board members is entitled to make a comment in connection with the forthcoming voting not longer than one minute.
4.10 Voting is made by ballots (secret ballot). After the first round of election has been held the majority of the Board members present at the session may take a decision on changing the form of voting before each round of the elections: secret (by ballots) or open (by reflecting the voting results directly during the voting itself).
4.11The Coordination Center Director shall in advance provide technical capabilities for holding any of the voting forms.
4.12 In the first round of the elections rating voting is held on the candidacies included into each of the quotas of the voting list. During this round each of the Board members votes for two candidates from each quota of the voting list. Voting results on each round of the elections are announced by the session’s chairperson. In the further rounds of elections candidates that yielded not a single vote during the rating voting are excluded from the voting list.
4.13 The second and subsequent rounds of elections are held separately on each quota. First quota A is filled in, then quota B is filled in.
4.14   During the second and subsequent rounds of elections candidates that collected the least number of votes during the previous round of elections are excluded from the voting list. Each of the Board members is entitled to vote during each round of elections twice. If one of the candidates gets the support of the majority of the Board members during the second and subsequent rounds of elections this candidate is deemed to have been elected and does not participate in the further rounds. In the further rounds of elections each of the Board members is entitled to vote only once during each round.
4.15 If the number of candidates on quota A is exhausted, but neither one or both candidates on quota A are elected, the respective vacancies are added to quota B.
4.16 Elections of the new Board members are deemed to have been completed if all the vacancies are filled in on both the quotas or if the number of candidates for which the majority of the Board members had voted during all the rounds of elections is exhausted.
4.17 On the proposal of the authorized member of the Board the session’s chairperson announces the final results of elections of the new Board members and enters them into the minutes of the Board session.
4.18 The authorized member of the Board tells the elected members of the Board that they have been elected members of the Board for a scheduled period and approves the form of the message on the election results subject to be published by the Director as per item 2.9 of the Regulations.


5. Transitional and final provisions

5.1If the number of the new elected members of the Board is less than four, or the number of the Board members decreases for other reasons not related to the election of new Board members, the following rules shall be followed:
(1) If the total number of the Board members is 10 or more as of August 31 every year, the by-election of new members instead of the outgoing ones is not held.
(2) If the total number of the Board members is 9 or less as of August 31 every year, the by-election of the Board members is held within the periods established by the Regulations. In this case the term of powers of a Board member by-elected instead of the outgoing one, is the term of powers of the outgoing Board member. If the remaining term of powers of the outgoing Board member is one year or less, the by-election is not held with relation to him/her.
(3) The Board may take other decisions with relation to the by-election to replace the outgoing Board members depending on the concrete situation provided the requirements of Section 1 of the Regulations are met.
5.2 To ensure the initial rotation of the Board members in 2008-2010 the following rules shall be followed:
(1) The duration of procedures for electing new Board members in 2008 may be reduced, but so that the four new members of the Board would be elected before December 31, 2008, and the powers of the new Board members would take effect from January 1, 2009. The said changes in timing are subject to approval by the Board.
(2) To determine the procedure (sequence) of rotation of the Board members in 2008 the Coordination Center Director draws up the list of the Board members in the chronological order of their admission to (cooptation) the Board in 2000 – 2008. The term of powers of the Board members from the said list expires in the following order:
- first four members of the Board – 31 December 2008;
- three members of the Board (in connection with the reduction of the number of elected Board members in 2009) – 31 December 2009;
- the remaining four members of the Board – 31 December 2010.
The representative of the Russian Federation Communications Administration is not included into this list.
(3) If the duration of powers of individual members of the Board is equal among the groups of the Board members determined as per part 2 of the present clause, lots are drawn at the Board session to adjust the procedure of including such Board members into a certain group to calculate when their terms of powers expire.
5.3 A staffer of the Coordination Center may be elected as a Board member, however before his/her powers as a Board member take effect he/she is obliged to terminate his/her employment with the Coordination Center.
5.4 A Board member may not be a staffer of the Coordination Center. If a member of the Board is transferred to a job in the Coordination Center as a staffer his/her powers as a Board member are terminated.
5.5 If a Board member enters the State Civil Service his/her powers as a Board member are terminated.
5.6 Amendments and additions may only be introduced into the Regulations by the decision of the Board.
